1. Who we are and agreement to these terms

These Terms of Service (the “Terms”) govern your download, purchase, installation, and use of Restockly: POS & Inventory (“Restockly POS” or the “App”) and related services provided by TOPSOL (“we,” “us,” or “our”). By using the App, you agree to these Terms. If you do not agree, do not use the App.

2. Business use and eligibility

The App is intended for business use. You must be legally able to enter into a binding agreement in your location. If you use the App for a company or another organization, you confirm that you have authority to accept these Terms on its behalf.

3. License

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your internal business operations. Each direct purchase covers one device unless the offer or order confirmation says otherwise. Other computers that connect to that licensed device as tills over your local network (multi-computer mode) are covered by its license and need no license of their own. App-store purchases are also subject to the store’s license rules.

You may not:

• Copy, resell, sublicense, rent, or distribute the App except as permitted by law or an applicable app store;
• Circumvent license checks, access controls, usage limits, or security features;
• Reverse engineer, decompile, or attempt to extract source code except where applicable law expressly permits it; or
• Use the App or related services for unlawful, fraudulent, or abusive activity.

4. What we sell

Restockly POS is downloadable desktop software for Windows and macOS. It is a digital product, delivered electronically. It is not a hosted service, and it is not a consulting or human-delivered service. Everything you buy is unlocked by a licence key that the App verifies on your own computer.

Payment recording, not payment processing. Restockly POS is sales-recording and inventory software. It does not process card or wallet payments, connect to payment gateways, collect card information, or receive, hold, route, split, settle or transfer merchant funds. Payment methods entered in the application are bookkeeping records only. Retail payments occur independently between each retailer and its customers.

• Free trial: The App can be downloaded and used free for 3 days, capped at 5 products and 10 sales. No card and no account are required, and the trial does not convert into a paid plan on its own — nothing is charged unless you choose to buy.
• Restockly POS (core licence): Sold as a one-time purchase, which does not renew and is not billed again, or as a monthly or yearly plan that renews automatically until you cancel. A plan is charged the price shown at checkout at the start of each period; cancelling stops future renewals, and access continues until the end of the period you have already paid for. When a plan ends without renewing, the App asks for a renewal or a one-time purchase before it opens again; nothing you have entered is deleted. Each purchase licenses one device, and computers that join it as tills over your local network need no licence of their own; you can move that licence between computers by deactivating the old one first. See section 5 for how to cancel.
• Credit module (add-on): Sold as a one-time purchase, which does not renew, or as a monthly or yearly plan that renews automatically until you cancel. A plan is charged the price shown at checkout at the start of each period; cancelling stops future renewals, and access continues until the end of the period you have already paid for. See section 5 for how to cancel.
• Mobile Share (add-on): A monthly subscription that renews automatically until you cancel. You are charged the price shown at checkout at the start of each monthly period. Cancelling stops future renewals; access continues until the end of the period you have already paid for. See section 5 for how to cancel.
• Pricing and taxes: Prices vary by country and currency. Any sales tax, VAT or GST that applies is calculated at checkout. The final amount charged is the amount confirmed on the checkout screen before you pay.

5. Payment, delivery, and cancellation

Merchant of record. Payments for purchases made through this website are processed by Paddle.com Market Ltd, which acts as the merchant of record for those orders. Paddle handles the transaction, calculates and remits applicable taxes, and issues your order receipt. This means “Paddle” or “Paddle.net” is the name that appears on your card or bank statement, not TOPSOL. Your purchase is also subject to Paddle’s Buyer Terms.

Delivery. Delivery is electronic and immediate. As soon as your payment is confirmed, your licence key is displayed on the confirmation page and emailed to the address you entered at checkout, normally within a few minutes. There is nothing to ship and no waiting period. If your key has not arrived, email support@restocklypos.com from the address you used to buy and we will resend it.

Cancelling a subscription. You can cancel Mobile Share or a monthly or yearly plan at any time, with no cancellation fee, using either of these routes:

• Open the receipt email Paddle sent you and use the subscription management link it contains; or
• Email support@restocklypos.com from the address you bought with, and we will cancel it for you.

Cancellation takes effect at the end of the current billing period. You keep access until then, and you are not charged again. Cancelling a subscription is not the same as requesting a refund — refunds are governed by our Refund Policy. Cancelling a subscription does not affect anything you bought once, and buying Restockly POS or the Credit module once does not cancel a plan you already have — cancel the plan as well, or ask us to.

App-store purchases. If you install the Mac App Store edition instead, Apple processes that payment and Apple’s billing, subscription and refund rules apply to it.

6. Your data and backups

The App is designed to keep core operational data on your device or your own local network. You control the business, customer, inventory, and transaction data you enter. You are responsible for the accuracy and lawfulness of that data, managing staff access, protecting your devices and credentials, and maintaining suitable backups. We are not a backup service for your local database.

7. Optional online and third-party services

The App may connect to services such as Google Drive, Mobile Share, Apple services, or other platforms you choose to use. Third-party services are governed by their own terms and privacy policies. We are not responsible for a third party’s availability, security, or changes to its service. Internet, network, hardware, and third-party fees are your responsibility.

8. Updates and availability

We may provide fixes, improvements, or feature changes. We may also modify or discontinue a feature when reasonably necessary, including for security, legal, technical, or third-party platform reasons. System requirements may change over time. We do not guarantee that every feature will always be available on every device, operating system, or store version.

9. Intellectual property

The App, website, branding, documentation, design, and underlying technology are owned by TOPSOL or its licensors and are protected by applicable intellectual-property laws. These Terms do not transfer any ownership rights to you. You retain ownership of the business data and content you enter into the App.

10. Disclaimer

To the maximum extent permitted by law, the App and related services are provided “as is” and “as available.” We do not promise uninterrupted or error-free operation or that the App will satisfy every accounting, tax, regulatory, or business requirement. The App is a business tool, not legal, tax, or accounting advice. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

11. Limitation of liability

To the maximum extent permitted by law, TOPSOL will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data. Our total liability relating to the App or these Terms will not exceed the amount you paid us for the affected product or service during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law does not allow them.

12. Suspension and termination

You may stop using the App at any time. We may suspend access to online services or terminate a license if you materially breach these Terms, use a fraudulent payment method, or compromise the security or operation of the App or services. Where reasonable, we will give notice and an opportunity to resolve the issue. Provisions that by their nature should survive termination will remain in effect.

13. Governing law

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. Courts with jurisdiction in Pakistan will handle disputes, unless mandatory law in your location gives you the right to bring a claim elsewhere. Nothing in these Terms limits non-waivable consumer rights.

14. Changes to these terms

We may update these Terms from time to time. The effective date at the top will show when they were last revised. If a change is material, we may also provide notice through the App, website, or applicable store. Your continued use after revised Terms take effect means you accept the revised Terms.
