1. Agreement to these terms

These Terms of Service (the “Terms”) govern your download, purchase, installation, and use of Smart POS Manager (the “App”) and related services provided by TOPSOL (“we,” “us,” or “our”). By using the App, you agree to these Terms. If you do not agree, do not use the App.

2. Business use and eligibility

The App is intended for business use. You must be legally able to enter into a binding agreement in your location. If you use the App for a company or another organization, you confirm that you have authority to accept these Terms on its behalf.

3. License

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your internal business operations. Each direct purchase covers one device unless the offer or order confirmation says otherwise. App-store purchases are also subject to the store’s license rules.

You may not:

  • Copy, resell, sublicense, rent, or distribute the App except as permitted by law or an applicable app store;
  • Circumvent license checks, access controls, usage limits, or security features;
  • Reverse engineer, decompile, or attempt to extract source code except where applicable law expressly permits it; or
  • Use the App or related services for unlawful, fraudulent, or abusive activity.

4. Trials, purchases, and subscriptions

  • Trial: A trial may have time, product, sales, or feature limits. Trial access may end automatically when the stated trial period or limit is reached.
  • Core license: The core App is offered as a one-time purchase unless the offer shown at checkout states otherwise.
  • Optional services: Certain add-ons, including Mobile Share, may be sold separately or on a recurring basis. The price, billing interval, and renewal terms shown at checkout apply.
  • Pricing and taxes: Prices may vary by country, currency, platform, and applicable taxes. The final amount is the amount displayed or confirmed at checkout.
  • Third-party stores: Apple or another payment provider may process your purchase. Its payment, billing, and cancellation terms also apply to that transaction.

Refund requests are governed by our Refund Policy and, where applicable, the rules of the store or payment provider that processed the purchase.

5. Your data and backups

The App is designed to keep core operational data on your device or your own local network. You control the business, customer, inventory, and transaction data you enter. You are responsible for the accuracy and lawfulness of that data, managing staff access, protecting your devices and credentials, and maintaining suitable backups. We are not a backup service for your local database.

Our handling of personal information is described in our Privacy Policy.

6. Optional online and third-party services

The App may connect to services such as Google Drive, Mobile Share, Apple services, or other platforms you choose to use. Third-party services are governed by their own terms and privacy policies. We are not responsible for a third party’s availability, security, or changes to its service. Internet, network, hardware, and third-party fees are your responsibility.

7. Updates and availability

We may provide fixes, improvements, or feature changes. We may also modify or discontinue a feature when reasonably necessary, including for security, legal, technical, or third-party platform reasons. System requirements may change over time. We do not guarantee that every feature will always be available on every device, operating system, or store version.

8. Intellectual property

The App, website, branding, documentation, design, and underlying technology are owned by TOPSOL or its licensors and are protected by applicable intellectual-property laws. These Terms do not transfer any ownership rights to you. You retain ownership of the business data and content you enter into the App.

9. Disclaimer

To the maximum extent permitted by law, the App and related services are provided “as is” and “as available.” We do not promise uninterrupted or error-free operation or that the App will satisfy every accounting, tax, regulatory, or business requirement. The App is a business tool, not legal, tax, or accounting advice. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

10. Limitation of liability

To the maximum extent permitted by law, TOPSOL will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data. Our total liability relating to the App or these Terms will not exceed the amount you paid us for the affected product or service during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law does not allow them.

11. Suspension and termination

You may stop using the App at any time. We may suspend access to online services or terminate a license if you materially breach these Terms, use a fraudulent payment method, or compromise the security or operation of the App or services. Where reasonable, we will give notice and an opportunity to resolve the issue. Provisions that by their nature should survive termination will remain in effect.

12. Governing law

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. Courts with jurisdiction in Pakistan will handle disputes, unless mandatory law in your location gives you the right to bring a claim elsewhere. Nothing in these Terms limits non-waivable consumer rights.

13. Changes to these terms

We may update these Terms from time to time. The effective date at the top will show when they were last revised. If a change is material, we may also provide notice through the App, website, or applicable store. Your continued use after revised Terms take effect means you accept the revised Terms.
